As a part of this commitment, we encourage individuals to make societal contributions through academics, research, and service. These three areas often require two or more parties to discuss private, proprietary, or confidential information, data, or materials.
Non-Disclosure Agreements (NDAs), otherwise known as confidential, or privacy agreements, are a fundamental component of cooperative work and play a key role in supporting the work of the University. NDAs are legally binding contracts that protect and limit disclosure of information, data, or materials under evaluation by third parties. Depending upon the circumstances, an NDA may be necessary to protect the University’s confidential or proprietary information, or the confidential or proprietary information of a third party.
While the purpose and subject matter of NDAs may vary, the Office of General Counsel processes NDA requests pertaining to the following three areas: (1) Academics, (2) Research, and (3) Corporate Relations. NDAs related to future or ongoing procurement matters are initiated and processed by WVU Procurement through the typical procurement process.
Once a request has been initiated, the Office of General Counsel will assess the necessity of obtaining an NDA for your particular use and will reach out to you to advise you on the next procedural steps to be taken. WVU has previously approved templates that can expedite processing times. The Office of General Counsel will require additional time to review changes to the template or a third party’s agreement.
